Welcome to Upstream For Artists.

These Terms of Service (“Terms”) govern your access to and use of the Upstream For Artists website, music review services, submission forms, professional feedback services, promotional services, and other products or services offered by Upstream For Artists (“Upstream,” “we,” “us,” or “our”).

Upstream For Artists is a trade name operated by T Maxwell Enterprises, LLC, an Oklahoma limited liability company.

By accessing our website, purchasing a service, submitting music or other materials, electronically signing an Upstream form or agreement, or otherwise using our services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not purchase or use our services.

1. Our Services

Upstream provides services designed primarily for artists, musicians, creators, and other music-industry participants.

Depending on the service purchased, services may include:

  • Professional music reviews

  • Written music feedback

  • Music scorecards and ratings

  • Feedback from music professionals or reviewers

  • Project or album reviews

  • Artist development feedback

  • Promotional or editorial services

  • Reaction or testimonial content

  • Other music-related services made available by Upstream

Specific deliverables, pricing, turnaround estimates, and other conditions may be stated on the applicable product page, checkout page, submission form, order confirmation, or separate written agreement.

2. Professional Opinions and No Guaranteed Results

Music is inherently subjective.

Reviews, ratings, scorecards, recommendations, comments, critiques, and other feedback provided through Upstream represent professional or personal opinions and should not be interpreted as statements of objective fact.

Purchasing an Upstream service does not guarantee:

  • A positive review

  • A particular rating or score

  • Approval of your music

  • Commercial success

  • Increased streams or listeners

  • Increased followers or engagement

  • Playlist placement

  • Radio play

  • Label or publishing interest

  • Management representation

  • Employment or professional opportunities

  • Revenue

  • Audience growth

  • Viral exposure

  • A particular career outcome

You are purchasing the applicable service and professional evaluation, not a guaranteed result or favorable opinion.

A customer's disagreement with a reviewer's opinion, score, critique, or recommendation does not by itself mean that the purchased service was defective or improperly delivered.

3. Honest and Independent Feedback

Upstream's professional review services are intended to provide artists with genuine feedback.

Payment for a review purchases the review service itself. Payment does not purchase a favorable opinion or predetermined score.

Upstream does not require reviewers to provide positive feedback.

Reviewers are expected to provide their genuine assessment of the submitted material.

4. Artist Ownership

You retain ownership of your music.

Submitting music, recordings, lyrics, artwork, compositions, masters, or other creative materials to Upstream does not transfer ownership of those materials to Upstream.

Upstream does not obtain ownership of your:

  • Master recordings

  • Musical compositions

  • Lyrics

  • Artist name

  • Artwork

  • Copyrights

  • Publishing rights

  • Royalties

except where a separate written agreement expressly states otherwise.

5. Limited Permission to Use Submitted Materials

By submitting materials to Upstream, you grant Upstream a limited, non-exclusive permission to access, store, reproduce as technically necessary, transmit, and share those materials solely as reasonably necessary to provide, administer, support, and complete the service you purchased.

For example, this may include providing a submitted song to the reviewer assigned to evaluate it.

This permission does not transfer ownership of the submitted material to Upstream.

Unless you separately authorize Upstream to do so, submission of music for review does not automatically give Upstream permission to commercially release, distribute, sell, license, or publicly publish your music.

Any promotional use of an artist's music, image, likeness, testimonial, video, or other materials may be governed by separate permission or agreement when applicable.

6. Your Right to Submit Materials

By submitting music or other materials, you represent that:

  • You own the materials; or

  • You have sufficient authorization or permission to submit them to Upstream.

You agree not to knowingly submit materials in a manner that violates another person's copyright, trademark, privacy, publicity, contractual, or other legal rights.

If multiple people own or control rights in a submitted work, you are responsible for obtaining any permission necessary for your submission and requested service.

7. Unreleased Music

Upstream understands that artists may submit unreleased music.

Upstream will use reasonable efforts to limit access to submitted music to people who reasonably require access to provide or administer the requested service, such as authorized Upstream personnel and assigned reviewers.

However, no electronic storage, transmission, or communication system can be guaranteed to be completely secure.

Unless a separate written nondisclosure or confidentiality agreement expressly provides otherwise, these Terms do not create an absolute guarantee against unauthorized access, disclosure, cybersecurity incidents, or other events beyond Upstream's reasonable control.

8. Reviewers

Upstream may use employees, contractors, independent music professionals, or other qualified reviewers to provide certain services.

Reviewers may differ in professional experience, background, specialties, preferences, and opinions.

Upstream may determine which reviewer completes an order unless the purchased service specifically allows the customer to select a reviewer.

Where customers select a specific reviewer, availability may be subject to change.

Upstream may substitute a reviewer when reasonably necessary to complete an order, unless the applicable service expressly states otherwise.

9. Turnaround Times

Any turnaround time displayed by Upstream is an estimate unless Upstream expressly guarantees a specific deadline in writing.

Turnaround time generally begins after Upstream has received all materials and information reasonably necessary to complete the order.

Delays caused by missing files, inaccessible links, incomplete forms, incorrect contact information, customer revisions, technical problems, or other circumstances outside Upstream's reasonable control may extend the estimated delivery time.

If Upstream cannot reasonably complete an order, we may offer a replacement service, service credit, reassignment, refund, or another appropriate remedy depending on the circumstances.

10. Orders and Payments

Prices are displayed before purchase and may change from time to time.

Payment must generally be completed before Upstream begins providing the purchased service unless otherwise agreed in writing.

Payments may be processed through Squarespace and third-party payment processors.

Upstream does not directly control all aspects of third-party payment-processing systems and is not responsible for outages or errors caused solely by those third-party systems.

You agree to provide accurate billing and order information.

11. Refunds

Because Upstream provides personalized digital and professional services, refund eligibility may depend on the status of the order.

Unless otherwise stated in a specific offer or required by applicable law:

Before work begins:
A customer may contact Upstream to request cancellation. If substantive work has not begun, Upstream may issue a full or partial refund depending on any nonrecoverable transaction costs or work already performed.

After work begins:
Once a reviewer or Upstream team member has begun substantive work on the order, refunds are generally not guaranteed.

After delivery:
Once the purchased review, feedback, scorecard, or other personalized deliverable has been substantially completed and delivered, the service is generally considered fulfilled.

Dissatisfaction with a reviewer's genuine opinion, criticism, rating, score, or recommendation is not by itself grounds for a refund.

Nothing in this section limits refund or consumer rights that cannot legally be waived.

Customers experiencing a genuine problem with an order should contact support@upstreamyourmusic.com so that Upstream can review the circumstances.

12. Chargebacks and Payment Disputes

If you believe a billing error occurred, we encourage you to contact support@upstreamyourmusic.com so we can attempt to resolve the issue.

Nothing in these Terms prevents you from exercising legitimate rights provided by your payment provider or applicable law.

However, knowingly making false statements in connection with a payment dispute, falsely claiming that a properly delivered service was unauthorized, or otherwise engaging in fraudulent payment activity may result in suspension or termination of access to Upstream services.

Upstream may provide transaction records, submitted forms, electronic acknowledgments, communications, delivery records, and other relevant documentation to payment processors or financial institutions when responding to a payment dispute.

13. Electronic Agreements and Signatures

Upstream may use electronic forms, checkboxes, acknowledgments, and electronic signatures.

By electronically signing or affirmatively accepting an Upstream agreement, you intend your electronic action to serve as your agreement to the applicable terms to the extent permitted by law.

You agree that electronic records related to your transactions with Upstream may be retained as evidence of your agreements, purchases, submissions, and communications.

14. Minors

Upstream may permit minors to use certain services where permitted by applicable law.

If you are under 18, you represent that you have any parent or legal guardian permission required to purchase or use the applicable service.

Upstream may require a parent or legal guardian to approve a purchase, agreement, submission, electronic signature, promotional release, or other activity involving a minor.

Upstream may cancel or decline a transaction involving a minor if we reasonably determine that additional parental or guardian authorization is necessary.

15. Prohibited Uses

You may not use Upstream to:

  • Submit material you do not have the right to submit

  • Commit fraud or misrepresentation

  • Attempt unauthorized access to Upstream systems

  • Introduce malicious software or harmful code

  • Harass, threaten, or impersonate another person

  • Interfere with another user's access to Upstream

  • Circumvent payment requirements

  • Misuse reviewer information

  • Scrape or systematically extract protected website content without authorization

  • Use Upstream for unlawful purposes

Upstream may suspend or terminate access when we reasonably believe these Terms have been materially violated.

16. Customer Reviews of Upstream

Customers are free to express their honest opinions about Upstream and their experiences with our services, including positive or negative opinions.

Nothing in these Terms is intended to restrict rights protected by the Consumer Review Fairness Act or other applicable law.

Upstream may, however, take appropriate action regarding content that is unlawful, fraudulent, defamatory as determined under applicable law, threatening, harassing, contains confidential information, infringes intellectual property rights, or otherwise falls outside legally protected consumer-review activity.

17. Testimonials and Promotional Content

Upstream may occasionally ask customers, artists, reviewers, creators, or collaborators for permission to participate in testimonials, interviews, reaction videos, social media collaborations, promotional campaigns, or similar content.

Participation in such promotional activities may be governed by a separate agreement or release.

Where compensation, free services, discounts, or other benefits are provided in connection with an endorsement or testimonial, the parties are expected to comply with applicable disclosure requirements.

Unless otherwise agreed, purchasing an Upstream service does not require a customer to publicly endorse Upstream.

18. Editorial Content

Upstream may publish editorial content discussing artists, releases, music trends, industry developments, educational topics, and related subjects.

Unless expressly stated otherwise, editorial commentary represents the views of its respective author or Upstream and does not constitute financial, legal, career, or professional representation.

Editorial coverage does not create an artist-management, record-label, publishing, employment, or agency relationship.

19. No Record Label, Management, or Agency Relationship

Unless a separate written agreement expressly states otherwise, using Upstream does not create:

  • A record-label relationship

  • An artist-management relationship

  • A publishing relationship

  • An employment relationship

  • A partnership

  • A joint venture

  • An agency relationship

  • A fiduciary relationship

Upstream does not become an owner, manager, label, publisher, or representative of an artist merely because the artist purchases or receives an Upstream service.

20. Third-Party Services

Upstream may rely on or integrate with third-party services such as:

  • Squarespace

  • Payment processors

  • Jotform

  • Email providers

  • Analytics providers

  • Social media platforms

  • Music streaming platforms

  • File-storage or cloud providers

Those services operate according to their own terms and policies.

Upstream is not responsible for outages, account restrictions, policy changes, data loss, or other conduct caused solely by third-party platforms outside Upstream's reasonable control.

21. Intellectual Property of Upstream

Except for customer-submitted materials and third-party materials, Upstream's website and original business materials may contain intellectual property belonging to T Maxwell Enterprises, LLC or used with permission.

This may include:

  • Upstream branding

  • Logos

  • Website designs

  • Original written content

  • Scorecard formats

  • Graphics

  • Marketing materials

  • Proprietary service materials

You may not copy, sell, reproduce, impersonate, or commercially exploit protected Upstream materials without permission except as permitted by applicable law.

22. Service Changes

Upstream is an evolving service.

We may add, modify, suspend, or discontinue services, features, pricing, reviewer availability, or website functionality.

Changes will not eliminate obligations we have already expressly agreed to fulfill for completed purchases except where reasonably necessary because of circumstances outside our control or where an appropriate remedy is provided.

23. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Upstream services are provided on an “as is” and “as available” basis.

Upstream does not warrant that:

  • Every customer will agree with reviewer feedback

  • Services will produce commercial success

  • The website will always operate without interruption

  • Every technical error will be prevented

  • Submitted music will receive a particular response

  • Third-party services will always remain available

Nothing in this section excludes warranties or rights that cannot legally be excluded.

24. Limitation of Liability

To the fullest extent permitted by applicable law, T Maxwell Enterprises, LLC, Upstream For Artists, and their owners, officers, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of Upstream services, including lost profits, lost opportunities, loss of audience, loss of streams, or career outcomes, except where such limitations are prohibited by law.

To the fullest extent permitted by applicable law, Upstream's aggregate liability arising from a particular purchased service will not exceed the amount the customer paid Upstream for the service giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

25. Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, damages, losses, or reasonable expenses arising from materials you submit in violation of these Terms, your infringement of another person's rights, your fraudulent conduct, or your unlawful misuse of Upstream.

This provision does not require you to indemnify Upstream for conduct for which indemnification cannot legally be required.

26. Governing Law

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles, except where applicable federal law or another jurisdiction's mandatory consumer-protection law requires otherwise.

Any dispute regarding these Terms will be handled in accordance with applicable law.

27. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

28. No Waiver

If Upstream does not immediately enforce a provision of these Terms, that does not mean Upstream permanently waives the right to enforce that provision.

29. Changes to These Terms

We may update these Terms as our services, business model, technology, or legal obligations change.

The “Last Updated” date at the top of these Terms will identify the most recent revision.

Material changes may be communicated through our website or other reasonable means when appropriate.

Changes generally apply prospectively and do not retroactively alter rights or obligations associated with a completed transaction except where permitted or required by law.

30. Privacy

Use of Upstream is also subject to our Privacy Policy.

Our Privacy Policy describes how personal information and submitted materials may be collected, used, stored, and shared.

By purchasing or using an Upstream service, you acknowledge that you have had an opportunity to review these Terms and agree to them to the extent permitted by applicable law.
